Facts & Info about: San Marino Ship & Yacht Registration (DIR)

San Marino provides an internationally oriented maritime registry for merchant vessels, private yachts and commercial yachts.
The Registry combines digital registration procedures with dedicated regulatory frameworks for different vessel types and permits international ownership subject to the applicable registration, due-diligence and technical requirements.
It may therefore be considered not only for newly acquired vessels but also for reflagging, financing transactions, ownership restructuring and changes between private and commercial operation.
The appropriate flag should nevertheless always be assessed against the particular vessel, including its age, tonnage, intended use, trading pattern, ownership, financing, insurance and crewing arrangements.
The San Marino maritime framework is principally governed by Maritime Law No. 120 of 2 August 2019, as amended, together with implementing regulations, Registry circulars and the international maritime conventions applicable to the relevant vessel.
Specific technical and safety requirements also apply according to vessel type and operation, including the relevant San Marino yacht safety framework for private and commercial yachts.
The precise legislation and technical requirements should therefore be checked according to the vessel being registered.
A vessel may be owned by an individual or corporate entity satisfying the Registry's applicable requirements.
A San Marino company is not automatically required merely because the vessel is registered under the San Marino flag.
Corporate owners will need to provide appropriate company documentation together with information concerning directors, shareholders and ultimate beneficial owners as part of the Registry and KYC process.
AGPLAW can also advise on the most appropriate ownership structure where a new vessel-owning company is required.
Where the registered owner is not resident in San Marino, a San Marino Resident Agent is required.
The Resident Agent acts as the owner's local representative for Registry purposes in accordance with the applicable requirements.
This should be arranged as part of the registration process and not after registration has been submitted.
Ongoing requirements depend on the vessel type, size and operation and may include maintenance or renewal of Registry documentation, statutory certification, surveys, insurance documentation, radio and crew requirements and payment of applicable Registry or other annual fees.
Commercial vessels and yachts may also be subject to continuing compliance with the applicable safety codes and international maritime conventions.
AGPLAW can provide ongoing Registry and legal support following completion of the initial registration.
Registration of a vessel under the San Marino flag does not by itself determine the tax residence of the owner or the tax treatment of the vessel.
Tax, VAT and customs considerations depend on matters including the ownership structure, owner's residence, place of management, vessel use, charter activity and jurisdictions in which the vessel operates.
San Marino provides certain fiscal measures for qualifying maritime activities, but their application should be reviewed according to the particular structure before being relied upon.
San Marino operates a digital registration process and applications can be dealt with efficiently where the vessel is eligible and the documentation is complete.
The actual time required depends on factors including the vessel type, current registration, ownership documents, technical certification, surveys, deletion from the previous registry and whether any mortgage or other encumbrance is involved.
Provisional registration may be available while the requirements for permanent registration are being completed.
For this reason, we recommend beginning the registration review before the planned acquisition, delivery or reflagging date wherever possible.
The San Marino Registry also provides procedures for matters including ship and yacht mortgages, bareboat charter arrangements, radio licensing, crew endorsements and changes of ownership.
Where a vessel is being purchased, financed or reflagged, these matters should be considered together rather than dealt with independently after registration.
Owners of internationally trading vessels should also consider current Port State Control performance when selecting a flag. Flag-performance classifications change periodically and should therefore be checked against the latest published information when the registration decision is being made.
